Terms of Service

1. Introduction
Welcome to Ayden (“Service,” “Ayden,” “we,” “us,” or “our”). Ayden is a service provided by Kade Financial LLC, a limited liability company organized under the laws of the State of Nevada.
These Terms of Service (“Terms”) govern your access to and use of the Ayden platform, including all related text messaging services, voice calling services, websites, and applications. By creating an account or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
2. Description of Service
Ayden is an AI-powered personal assistant for professionals, delivered primarily through SMS text messaging and voice phone calls. The Service includes, but is not limited to:
- Automated daily briefings delivered via text message
- AI-powered note taking and contact management
- Follow-up reminders and scheduling
- Deal and deadline tracking
- Voice call updates and conversation summaries
- Contact memory and recall
Ayden is not a licensed professional advisor. Ayden does not provide legal, financial, real estate, tax, or investment advice. Ayden is an organizational and productivity tool. You are solely responsible for all professional decisions related to your business.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using Ayden, you represent and warrant that you meet these requirements.
4. Account Registration
To use the Service, you must create an account by providing your name, email address, phone number, and valid payment information.
You are responsible for maintaining the confidentiality of your account and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
You agree to provide accurate, current, and complete information during registration and to keep your information updated.
5. Subscription Plans and Pricing
5.1 Plans
Ayden offers the following subscription plans:
- Core Plan ($49/month): Full text-based assistant including morning briefings, follow-up reminders, note taking, deadline tracking, commitment monitoring, contact memory, and sphere management.
- Pro Plan ($99/month): Everything in the Core Plan plus two-way voice calling with Ayden, including real-time conversation, follow-up questions, and post-call text summaries.
5.2 Free Trial
New subscribers receive a 30-day free trial beginning on the date of account registration. During the free trial, you will have access to all features of the Service, including voice calling, regardless of which plan you select.
Your payment method will not be charged during the free trial period.
5.3 Billing and Auto-Renewal
At the end of your 30-day free trial, your subscription will automatically convert to a paid subscription at the rate of the plan you selected during registration. Your payment method on file will be charged on the first day following the end of your free trial and will automatically renew on a monthly basis thereafter.
By providing a payment method and creating an account, you authorize Kade Financial LLC to charge the applicable subscription fee to your payment method on a recurring monthly basis until you cancel.
We will send you a reminder via text message approximately 5 days before your free trial ends, notifying you of the upcoming charge, the amount you will be charged, and how to cancel before the trial expires.
5.4 Price Changes
We reserve the right to change our subscription pricing. Any price changes will be communicated to you at least 30 days before they take effect. Price changes will apply at the start of your next billing cycle following the notice period. Subscribers who signed up during promotional periods with locked pricing will retain their locked rate as long as their subscription remains active and in good standing.
5.5 Taxes
Subscription fees are exclusive of applicable taxes. You are responsible for any taxes associated with your use of the Service, other than taxes based on Kade Financial LLC's income.
5.6 Post-Signup Confirmation
After completing your registration, you will receive a confirmation via text message and/or email that includes your selected plan, the subscription price, the date your free trial ends, when your first charge will occur, and instructions on how to cancel.
5.7 Express Consent to Auto-Renewal
During signup, you will be asked to separately acknowledge and consent to the automatic renewal of your subscription. This consent is separate from your agreement to these Terms of Service. By checking the auto-renewal consent checkbox during registration, you expressly agree that your subscription will automatically renew on a monthly basis at the rate of your selected plan until you cancel. We retain records of your express consent for at least three years or one year after termination of your subscription, whichever is longer.
5.8 Annual Renewal Reminder
We will send you an annual reminder via text message or email disclosing your current subscription plan, the frequency and amount of your charges, and instructions on how to cancel your subscription.
6. Cancellation and Refunds
6.1 Cancellation During Free Trial
You may cancel your subscription at any time during the 30-day free trial. If you cancel before the trial ends, your payment method will not be charged and you will retain access to the Service through the end of the trial period.
6.2 Cancellation of Paid Subscription
You may cancel your paid subscription at any time through the cancellation button in your account dashboard or by emailing support@ayden.com. Your account dashboard will include a prominently located cancellation option that allows you to cancel immediately without unnecessary steps or obstacles. Upon cancellation, you will retain access to the Service through the end of your current billing cycle. No refunds will be issued for partial billing periods.
6.3 Downgrades and Upgrades
You may upgrade or downgrade your subscription plan at any time. Upgrades take effect immediately. Downgrades take effect at the start of your next billing cycle. When downgrading from Pro to Core, you will lose access to voice calling features at the start of your next billing cycle.
6.4 Refund Policy
All subscription fees are non-refundable except as required by applicable law. If you believe you have been charged in error, please contact us at support@ayden.com.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation
- Send or facilitate unsolicited bulk messages or spam
- Harass, abuse, threaten, or intimidate any person
- Transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable
- Impersonate any person or entity
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Attempt to gain unauthorized access to any part of the Service
- Use the Service for any purpose other than its intended use as a professional productivity and organizational tool
- Use automated scripts, bots, or other automated means to interact with the Service (other than the Service's own AI features)
- Resell, sublicense, or redistribute access to the Service without our written consent
Each Ayden account is for a single individual user. You may not share your account credentials or allow others to use your Ayden phone number for their business. Each user must have their own separate account and subscription.
You represent and warrant that you have the right to provide any third-party personal information you share with Ayden, including information about your clients, contacts, and business associates. You are solely responsible for complying with any applicable privacy laws or professional obligations related to the personal information of your clients that you provide to the Service. Kade Financial LLC processes this information solely on your behalf to provide the Service.
We reserve the right to suspend or terminate your account for violation of these terms.
8. Text Messaging Terms
8.1 Consent
By creating an account, you consent to receive recurring automated text messages from Ayden at the phone number you provide. These messages include daily briefings, follow-up reminders, deadline alerts, note confirmations, and other Service-related communications.
8.2 First Message
Upon account activation, you will receive an initial text message from Ayden that identifies the Service, provides basic instructions, and includes information on how to opt out. This message serves as confirmation that your account is active and messaging has begun.
8.3 Message Frequency
Message frequency varies based on your usage and the number of contacts and deadlines in your account. You may receive multiple messages per day.
8.4 Message and Data Rates
Standard message and data rates from your wireless carrier may apply. Kade Financial LLC is not responsible for any charges from your wireless carrier.
8.5 Opt-Out
You may opt out of text messages at any time by texting STOP to the Ayden phone number. You will receive a confirmation message that you have been unsubscribed. Opting out of text messages will effectively end your ability to use the core Service, as the Service is delivered primarily through text messaging. Opting out does not automatically cancel your subscription — you must separately cancel through your account dashboard or by emailing support@ayden.com.
8.6 Help
You may text HELP to the Ayden phone number at any time to receive support information, including contact details for customer assistance and instructions for opting out.
8.7 Mobile Data Privacy
Your mobile phone number and opt-in data will not be shared with or sold to third parties or affiliates for marketing or promotional purposes. Your mobile information is used solely to provide the Ayden Service as described in these Terms.
8.8 Carrier Disclaimer
Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your wireless carrier.
9. Voice Calling Terms
9.1 Voice Service
The Pro Plan and free trial include access to two-way voice calling with Ayden. When you call the Ayden phone number, you will be connected to an AI-powered voice assistant that can receive updates, ask follow-up questions, and confirm information in real time.
9.2 AI Disclosure
Ayden is an artificial intelligence system, not a human. At the beginning of every voice call, Ayden will identify itself as an AI assistant. This disclosure is provided at the start of every call in compliance with applicable state and federal AI disclosure laws, including the California BOT Disclosure Act.
9.3 Consent to Transcription
Voice calls with Ayden are transcribed in real time to enable the AI to understand and respond to your updates. By using the voice calling feature, you consent to the real-time transcription and processing of your voice communications. Ayden will notify you at the start of each call that notes will be taken from the conversation. In jurisdictions that require all-party consent for call recording or monitoring, your continued participation in the call after this notification constitutes your consent. Audio recordings of calls are not permanently stored. Only text transcripts and notes derived from the conversation are retained as part of your account records.
9.4 Voice Call Greeting
Each voice call will begin with a greeting that includes: (1) identification of Ayden as an AI assistant, and (2) notification that notes will be taken from the conversation. Example: “Hey, this is Ayden, your AI assistant. Just so you know, I will be taking notes from our conversation.” This greeting satisfies AI disclosure requirements and serves as notification of transcription for consent purposes.
9.5 Biometric Data Disclaimer
Ayden does not create, collect, or store voiceprints, voice models, or any biometric identifiers derived from your voice. Voice calls are transcribed to text in real time for the sole purpose of understanding your spoken updates and generating notes. Audio from calls is processed in real time by third-party speech-to-text services and is not retained, stored, or used to create any biometric profile. Only the resulting text transcript and notes derived from the conversation are stored as part of your account. We do not use voice data for identification, authentication, or any purpose other than real-time transcription during your call.
9.6 Geographic Availability
The Ayden Service is currently available only to users located in the United States. By creating an account, you represent that you are located in the United States.
9.7 Call Processing
Voice calls are processed in real time using third-party AI and speech processing services. Calls are transcribed during the conversation to enable real-time interaction. Audio recordings of calls are not permanently stored. Transcripts of calls may be retained as part of your account records to provide conversation summaries and maintain your contact notes.
9.8 Call Duration
Individual voice calls may be limited in duration. Current maximum call duration is 5 minutes per call. This limit may change at our discretion.
9.9 Voice Quality
Voice call quality depends on your phone connection, carrier, and network conditions. We do not guarantee specific voice quality or uninterrupted service.
10. Data and Privacy
10.1 Your Data
All contact information, notes, conversations, and other data you provide through the Service (“Your Data”) remains yours. We do not claim ownership of Your Data.
10.2 How We Use Your Data
We use Your Data solely to provide, maintain, and improve the Service. This includes processing your messages and calls through AI systems to parse notes, schedule reminders, and generate responses. For details on how we collect, use, and protect your information, please see our Privacy Policy.
10.3 Data Retention
Your Data is retained for as long as your account is active. Upon account termination, Your Data will be retained for 30 days to allow for reactivation or data export. After 30 days, Your Data may be permanently deleted.
10.4 Data Breach Notification
In the event of a data breach that compromises your personal information, we will notify affected users via text message and/or email within 72 hours of discovering the breach, or as otherwise required by applicable law.
10.5 Data Export
You may request an export of all your data, including contacts, notes, milestones, and conversation history, at any time through your account dashboard or by emailing support@ayden.com. We will provide your data in a standard format within 30 days of your request.
10.6 Third-Party Services
The Service uses third-party providers to deliver its functionality, including but not limited to:
- Twilio (SMS and voice telecommunications)
- Anthropic (AI language processing)
- Vapi (voice conversation orchestration)
- ElevenLabs (voice synthesis)
- Stripe (payment processing)
- Supabase (data storage)
Your use of the Service is subject to these third parties' respective terms and privacy policies. We select third-party providers with appropriate security and privacy practices, but we cannot guarantee the security of third-party services.
11. Intellectual Property
11.1 Our Property
The Service, including its software, design, features, content, and all related intellectual property, is owned by Kade Financial LLC. These Terms do not grant you any rights to our trademarks, logos, or other brand features.
11.2 License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal professional purposes.
11.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, and incorporate that feedback without obligation to you.
12. AI Limitations and Disclaimer
Ayden uses artificial intelligence to process your messages, generate responses, and manage your contact information. While we strive for accuracy, AI systems are not perfect. Ayden may occasionally:
- Misinterpret a message or note
- Associate information with the wrong contact
- Miss details in a voice conversation
- Provide an inaccurate recall of past conversations
You are responsible for reviewing Ayden's responses and corrections. Ayden is designed to ask for confirmation when it is uncertain, and you should correct any errors promptly.
Ayden does not provide professional advice of any kind. The Service is an organizational tool. All business decisions remain your sole responsibility.
We do not use your personal data, notes, conversations, or voice transcripts to train AI models. Your data is used solely to provide the Service to you.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KADE FINANCIAL LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.
15. Indemnification
You agree to indemnify, defend, and hold harmless Kade Financial LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or the rights of any third party
- Any content or data you provide through the Service
16. Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.
16.2 Informal Resolution
Before filing any formal dispute, you agree to contact us first and attempt to resolve the dispute informally by emailing support@ayden.com. We will attempt to resolve the dispute within 30 days.
16.3 Arbitration
If we cannot resolve a dispute informally, any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Clark County, Nevada. The arbitrator's decision shall be final and binding.
16.4 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
17. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by text message or email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the changes constitutes your acceptance of the modified Terms.
18. Termination
18.1 Termination by You
You may terminate your account at any time through your account dashboard or by emailing support@ayden.com.
18.2 Termination by Us
We may suspend or terminate your account at any time for any reason, including but not limited to a violation of these Terms. If we terminate your account for reasons other than a violation of these Terms, we will provide you with a pro-rata refund for any prepaid and unused portion of your subscription.
18.3 Effect of Termination
Upon termination, your right to use the Service will cease immediately. Sections 10.3, 11, 13, 14, 15, 16, and this Section 18.3 shall survive termination.
19. General Provisions
19.1 Entire Agreement
These Terms, together with the Privacy Policy and SMS Terms, constitute the entire agreement between you and Kade Financial LLC regarding the Service.
19.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
19.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
19.4 Assignment
You may not assign your rights under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.
19.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, power outages, internet or telecommunications failures, or third-party service provider outages.
